End User License Agreement (EULA)

Effective date: March 2025

This End User License Agreement (“Agreement”) is a legal agreement between you (“User”) and Zine Digital (“Zine”, “Licensor”) for the use of Familiar software and associated services (“Software”).

By installing, accessing, or using the Software, you accept this Agreement. If you do not accept, do not use the Software.

1. Proprietary Software

Familiar is proprietary software. All rights, title, and interest in and to the Software, including all intellectual property rights, are owned exclusively by Zine Digital. The Software is protected by copyright laws, trade secret laws, and other intellectual property laws worldwide. The source code is confidential and not open source.

2. License Grant

Subject to the terms of this Agreement and payment of applicable fees, Zine Digital grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to:

  • Access and use the Software via supported web browsers for your personal or internal family management purposes.
  • Use features commensurate with your subscription plan.

This licence does not include any right to the underlying source code.

3. Restrictions

You may not:

  • Copy, reproduce, distribute, or create derivative works of the Software.
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software.
  • Remove or alter any proprietary notices, labels, or branding.
  • Sublicense, sell, resell, transfer, or otherwise commercially exploit the Software.
  • Use the Software to build a competing product or service.
  • Circumvent or disable any technical protection measures.

4. Subscription & Payment

Access to premium features requires a paid subscription. Subscription fees are charged in advance. Failure to pay may result in downgrade to the free tier or suspension. Pricing is subject to change with 30 days' notice.

5. Updates & Modifications

Zine Digital may, at its discretion, release updates, patches, or new versions of the Software. Such updates may be applied automatically. This Agreement applies to all updates unless a separate licence accompanies the update.

6. User Data

You retain ownership of data you input into the Software. You grant Zine Digital a limited licence to process your data solely to provide the service. Data handling is governed by our Privacy Policy.

7. Termination

This Agreement is effective until terminated. Your rights under this Agreement will terminate automatically if you breach any term. Upon termination, you must cease all use of the Software.Zine Digital may terminate this Agreement with 30 days' notice at its discretion.

8. Warranty Disclaimer

THE SOFTWARE IS PROVIDED “AS IS”, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ZINE DIGITAL DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ZINE DIGITAL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SOFTWARE. IN NO EVENT SHALL ZINE DIGITAL'S TOTAL LIABILITY EXCEED THE FEES YOU PAID IN THE TWELVE MONTHS PRIOR TO THE CLAIM.

10. Governing Law & Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of Nigeria. Any dispute arising under this Agreement shall be resolved exclusively by the courts of Nigeria.

11. Entire Agreement

This Agreement, together with our Terms of Service and Privacy Policy, constitutes the entire agreement between you and Zine Digitalregarding the Software and supersedes all prior agreements.
